By downloading, installing, or using PodTalk ("App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App.
🚨 CRITICAL: USER RESPONSIBILITY FOR CONTENT
By using PodTalk, you acknowledge and agree that:
- YOU ARE SOLELY RESPONSIBLE for all content you submit and all podcasts you generate
- YOU MUST ENSURE your content does not infringe any copyright, trademark, privacy, or other legal rights
- YOU WILL BE LIABLE for any legal claims, damages, or penalties arising from your content
- YOU AGREE TO INDEMNIFY US against any claims related to your use of the App
- WE DO NOT PRE-APPROVE CONTENT and are not responsible for what you create
If you cannot accept full responsibility for your content, DO NOT USE THIS APP.
1. License and Access
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App for personal or internal business purposes. All rights not expressly granted are reserved.
- You may not sublicense, sell, rent, lease, or transfer your rights to use the App
- You may not modify, reverse engineer, decompile, or disassemble the App
- We may suspend or terminate your access at any time for violation of these Terms
2. Intellectual Property and Content Ownership
A. Your Content and Ideas
- You Retain Ownership: You own the ideas, scripts, and text content you provide to the App
- License to Us: By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and transmit your content solely to provide podcast generation services
- Generated Podcasts: You own the generated podcast audio, subject to the restrictions and obligations in these Terms
- Our license terminates when you delete your content or account, except for backup copies retained according to our Privacy Policy
B. AI-Generated Voices
- The synthetic voices available in the App are proprietary to us and our AI service providers
- You may use generated audio containing these voices for your own purposes, but you may not extract, isolate, or replicate the voice models themselves
- You may not use the App to create voice models or train competing AI voice services
C. App Technology
- PodTalk, including its name, logo, user interface, algorithms, and underlying technology, is our exclusive property
- You may not copy, reproduce, distribute, or create derivative works based on the App
3. Copyright and Third-Party Rights
⚖️ YOUR LEGAL RESPONSIBILITY
YOU ARE SOLELY AND COMPLETELY RESPONSIBLE for ensuring that any content you submit to the App does not infringe copyright, trademark, privacy rights, rights of publicity, or any other intellectual property or legal rights of third parties. This responsibility cannot be transferred or delegated.
A. Your Responsibility
- Do Not Submit: Copyrighted books, articles, podcast scripts, song lyrics, movie scripts, or other protected works without authorization
- Fair Use: You may rely on fair use or similar exceptions where applicable, but you assume all legal risk
- Public Domain: Content in the public domain may generally be used, but verify the copyright status first
- Licensed Content: Only submit content you own or have explicit permission to use
B. Voice Impersonation and Likeness
🚫 STRICTLY PROHIBITED - WILL RESULT IN IMMEDIATE TERMINATION:
You may NOT use the App to:
- Impersonate real individuals, including celebrities, politicians, or private persons
- Create content that falsely suggests endorsement by or affiliation with any person or entity
- Replicate the voice, style, or persona of real podcasters or content creators
- Generate content that violates rights of publicity, privacy, or personality rights
- Create deepfakes or deceptive audio content
⚠️ Violation of these prohibitions WILL result in immediate account termination, content removal, reporting to authorities if illegal, and you may face serious legal liability including lawsuits and criminal prosecution.
C. Music and Audio Rights
- Background music provided within the App is licensed for use only within generated podcasts created through PodTalk
- You may not extract, download, or use background music separately from your podcasts
- If you add your own music or audio, you must own the rights or have proper licenses
- Public performance, broadcast, or commercial use may require additional licenses (ASCAP, BMI, etc.)
4. Acceptable Use Policy
📋 Community Guidelines: For detailed standards on content creation and community behavior, please review our Community Guidelines. These Terms establish legal requirements; the Community Guidelines provide practical standards for maintaining a safe and respectful community.
You agree NOT to use the App to create content that:
- Illegal Content: Violates any applicable law, regulation, or ordinance
- Harmful or Dangerous: Promotes violence, terrorism, self-harm, or dangerous activities
- Hateful or Discriminatory: Contains hate speech, discrimination, or harassment based on race, religion, gender, sexual orientation, disability, or other protected characteristics
- Misinformation: Spreads false information about health, politics, elections, or public safety that could cause harm
- Adult Content: Contains pornography, sexually explicit material, or content harmful to minors
- Fraudulent: Involves scams, phishing, impersonation, or deceptive practices
- Spam: Consists of unsolicited bulk messages, advertising, or promotional content
- Malicious: Contains malware, viruses, or attempts to compromise systems
- Privacy Violations: Discloses private information of others without consent
5. Content Moderation and Enforcement
- We use automated systems and manual review to detect violations of these Terms
- We reserve the right to refuse generation, remove content, or suspend accounts that violate these Terms
- We may report illegal content to law enforcement or other authorities as required by law
- Repeated violations may result in permanent account termination
- We do not pre-screen all content and are not liable for user-generated podcasts
6. DMCA and Copyright Infringement
We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA).
A. Copyright Infringement Notifications
If you believe content generated through the App infringes your copyright, submit a DMCA notice to dydemiryasir@gmail.com with:
- Identification of the copyrighted work claimed to be infringed
- Identification of the infringing material and information to locate it
- Your contact information (address, phone, email)
- A statement of good faith belief that the use is not authorized
- A statement that the notification is accurate and, under penalty of perjury, that you are authorized to act
- Your physical or electronic signature
B. Repeat Infringer Policy
We will terminate accounts of users who are repeat copyright infringers.
7. Commercial Use and Distribution
- Personal Use: You may use generated podcasts for personal, non-commercial purposes without restriction (subject to these Terms)
- Commercial Use: You may use generated podcasts for commercial purposes (advertising, business content, monetized distribution) provided you comply with all applicable laws and third-party rights
- Distribution: You may distribute, publish, and broadcast your podcasts on any platform, but you remain responsible for compliance with platform policies and legal requirements
- Attribution: We do not require attribution, but we appreciate credit where appropriate
- Resale Restriction: You may not resell the App's podcast generation service itself or white-label it as your own product
8. Disclaimers and Limitations
A. AI Limitations
- AI-generated voices and content may contain errors, inaccuracies, or artifacts
- Voice quality, pronunciation, and naturalness may vary
- Generated content may not always match your expectations or intentions
- We do not guarantee that generated content will be free from defects or suitable for any particular purpose
B. No Legal or Professional Advice
The App does not provide legal, financial, medical, or other professional advice. Content generated through the App should not be relied upon for professional decisions.
C. No Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, OR QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- WE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
- WE SHALL NOT BE LIABLE FOR DAMAGES ARISING FROM YOUR USE OF GENERATED CONTENT, INCLUDING COPYRIGHT INFRINGEMENT CLAIMS
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER
Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.
10. Indemnification
💰 YOU ARE FINANCIALLY RESPONSIBLE
This means if someone sues us because of your content, you must pay for our legal defense, any settlements, judgments, and all related costs. This can be extremely expensive.
You agree to indemnify, defend, and hold harmless PodTalk, Ghaith Labs, and our officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the App and ANY podcasts you generate
- Your violation of these Terms
- Your infringement of any third-party rights, including copyright, trademark, patent, trade secret, intellectual property, privacy, publicity, or personality rights
- Your violation of any applicable law or regulation
- Content you distribute, publish, or share that was generated using the App
- Any claims by third parties related to your generated podcasts
This indemnification obligation survives termination of your account and these Terms.
11. Termination
- We may suspend or terminate your access immediately if you violate these Terms
- You may stop using the App and delete your account at any time
- Upon termination, your license to use the App ceases immediately
- Sections regarding intellectual property, disclaimers, liability, indemnification, and dispute resolution survive termination
12. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated through the App or via email. Continued use of the App after changes constitutes acceptance of the updated Terms. If you do not agree, stop using the App.
13. Dispute Resolution
A. Informal Resolution
Before filing a claim, contact us at dydemiryasir@gmail.com to attempt informal resolution.
B. Arbitration (US Users)
For users in the United States, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except for small claims court matters. You waive your right to a jury trial and class action participation.
C. Governing Law
These Terms are governed by the laws of the jurisdiction where Ghaith Labs is established, without regard to conflict of law principles, except where mandatory local law applies.
14. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect
- No Waiver: Our failure to enforce any provision does not waive our right to enforce it later
- Assignment: You may not assign your rights without our consent. We may assign our rights without restriction
- Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control
